1. What these terms cover
These terms apply to design and development work carried out by LR Forge LLC, a California limited liability company of Benicia, California ("LR Forge", "we", "us"), for a client ("you"). Each project also has its own proposal setting out the scope, price and schedule. Where the proposal and these terms disagree, the proposal wins.
2. Scope of work
The proposal lists exactly what we're building: the pages, the features, and the number of revision rounds. Work outside that list is new work. We'll quote it separately and won't start it until you've agreed in writing.
3. Payment — build fee
- 50% of the build fee is due before work begins. It secures your place in our schedule.
- The remaining 50% is due on launch day, after you've approved the finished site.
- Invoices are due within 14 days. Late invoices may accrue interest at 1.5% per month.
- If an invoice is more than 30 days overdue we may pause work until it's settled.
4. Payment — monthly care plan
- The care plan begins on the day your site goes live and is billed monthly in advance to a saved card or bank account, via QuickBooks Payments.
- Your monthly rate is fixed for 24 months from launch. After that we may change it on 60 days' written notice, and you may cancel instead.
- There is no minimum term and no cancellation fee. Either side may end the plan on 30 days' written notice.
- Included monthly time (30 minutes, 1 hour or 3 hours by tier) covers changes to the existing site. It rolls over for one month only and has no cash value.
- Work beyond your included time is quoted in advance and billed separately.
- If the care plan lapses for non-payment we may suspend hosting after 14 days' notice. Your files and domain remain yours and we will hand them over on request.
5. Your responsibilities
We need content, feedback and approvals from you at the points set out in the schedule. You confirm that any text, images, logos or other material you supply is yours to use. If material you supply infringes someone else's rights, that's on you, not us.
6. Timelines
The schedule in your proposal assumes we receive what we need from you on time. Delays on your side move the launch date by at least the length of the delay. If a project stalls on your side for more than 60 days, we may invoice for work completed to date and release your slot in the schedule.
7. Revisions
Spark includes two revision rounds and Anvil three. A round means one consolidated set of feedback from you and our response to it. Bespoke includes as many rounds as can be completed inside the agreed build window.
Where more time is needed, one extension of up to ten additional business days is available at no cost on request. Any further extension is by written agreement between us, and time beyond an extended window is billed at $95 per hour, quoted and agreed in writing before it is incurred.
Changes that alter the agreed direction after sign-off are new work, billed at the same hourly rate.
8. Ownership
Once your final build invoice is paid, you own the design and the code we produced for your project outright, along with the domain, which is registered in your name from the start. Being on a care plan does not affect this: the monthly fee buys hosting, maintenance and our time, never ownership of your website. We keep ownership of any pre-existing tools, libraries or components we bring with us, and grant you a permanent licence to use them as part of your site.
Unless you ask us not to, we may show the finished work in our portfolio and describe what we did.
9. Third-party services
Sites often rely on outside services — hosting, payment processing, booking tools, email. Those have their own terms and their own fees, and we aren't responsible for their availability, pricing changes or failures.
10. Warranty and support
We'll fix any defect caused by our work, free, for as long as you hold an active care plan. Without a care plan, that cover runs for 90 days after launch. Neither covers changes you or a third party make to the site, problems caused by an outside service, or new features. Support outside your plan is billed at our hourly rate.
11. Cancellation
You can cancel a build at any time in writing, and a care plan on 30 days' notice. The build deposit is refundable in full if we haven't started work. Once work has begun, you pay for the hours completed to date, and we hand over everything produced so far. We may cancel a project if payment is more than 45 days overdue, or if the working relationship becomes untenable — in that case we invoice only for completed work.
12. Limitation of liability
Our total liability for any claim arising from a project is limited to the amount you paid us for that project. We are not liable for lost profits, lost data or other indirect losses. Nothing here limits liability that can't be limited by law.
13. No guaranteed results
We build sites to a professional standard and set them up correctly for search engines. We do not and cannot guarantee particular search rankings, traffic levels or sales.
14. Governing law
These terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts serving Solano County, California.
15. Questions
Anything unclear, ask before you sign. We would much rather answer a question now than argue about a clause later.
